Confidentiality & Non-Disclosure

1. Confidential information

Confidential information means any non-public information you receive through the platform, including but not limited to:

• Business names, contact details, routes, postcodes and operational details
• Pricing, rates, commercial terms and load details
• Any information that a reasonable person would consider confidential in the context of haulage and logistics

2. Your obligations

You agree to:

• Keep all confidential information strictly confidential and not disclose it to any third party without the prior written consent of the person or business who shared it
• Use confidential information only for the purpose of evaluating or fulfilling matches and transactions through the platform (e.g. arranging or performing a backhaul job)
• Not use confidential information for your own benefit or for the benefit of any third party in a way that harms the person who shared it
• Apply at least the same care to protecting confidential information as you would to your own confidential information of a similar kind

3. Duration

These obligations apply during your use of the platform and after you stop using it, for as long as the information remains confidential. They do not apply to information that lawfully becomes public (other than through your breach), that you already knew without restriction, or that you develop independently without using the confidential information.

4. Exceptions

You may disclose confidential information if and to the extent required by law or by a court or regulatory body of competent jurisdiction, provided you give the person who shared it (and Platoonix, if relevant) reasonable notice so they can seek protection, unless such notice is prohibited by law.

5. Breach

Breach of these obligations may result in suspension or termination of your account and may expose you to claims for damages. Platoonix is not responsible for any disclosure or misuse of your information by other users; enforcement of confidentiality between users is a matter for the parties concerned.

6. Governing law

This confidentiality and non-disclosure agreement is governed by the laws of England and Wales.
